Terms of Business
1. About these terms
These terms apply to all services provided by Lion Contracting Services Ltd (“Lion”, “we”, “us”), company no. 14534589, to business clients (“you”), together with the proposal or order form we agree with you (the “Order”). If the Order and these terms conflict, the Order prevails. We deal with businesses only, not consumers.
2. Our services
We provide administrative and finance operations support, which may include UK set-up support (the “Landing Package”), accounts payable and purchase-to-pay processing, supplier management, reporting and automation. The Order sets out the scope, fees, start date and any success measures. A pilot runs for a fixed period of three months unless the Order says otherwise. Work outside the agreed scope needs your written agreement and is charged at the rate in the Order.
3. Your responsibilities
You will give us accurate, complete and timely information, access to the systems we need, and named people with authority to approve invoices and payments. You remain responsible for your accounts, VAT returns, tax positions and statutory filings unless the Order expressly says otherwise.
4. Payments and your money
We never hold, receive or transfer your money. We prepare payment runs and you approve and release every payment. Changes to supplier bank details must be verified by you through an independent call-back to a known contact before any payment is made to the new details.
5. Fees and payment
- Fees are as set out in the Order. Unless the Order states otherwise, setup fees are invoiced on acceptance and monthly fees at the start of each month.
- All fees exclude VAT, which is added at the applicable rate.
- Invoices are payable within 14 days of the invoice date, without deduction.
- Late payments carry interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend services if an invoice remains unpaid seven days after a written reminder.
- Expenses are only charged if agreed in advance. We may review fees once a year on 30 days’ written notice.
6. Term and termination
After any pilot, the Order continues month to month unless the Order says otherwise, and either party may end it by giving 30 days’ written notice. Either party may end it immediately by written notice if the other commits a material breach that is not remedied within 14 days of notice, or becomes insolvent. On ending, you pay fees for work done to the end date and we return your records and files within 14 days.
7. Introductions and commission
Introductions or sales support are provided only under a separate written agreement. Any commission or benefit we receive is disclosed to you in writing. Where the law on commercial agents applies, it will apply to that agreement. We do not guarantee sales or any particular outcome.
8. No professional advice
Our services are administrative and operational. We do not give tax, legal, audit or regulated financial advice. You should take advice from your own qualified advisers where needed.
9. Confidentiality
Each party will keep the other’s confidential information secure, use it only for the services, and not disclose it except to staff, subcontractors and advisers bound by equivalent duties, or where the law requires. This does not apply to information that is public through no fault of the recipient.
10. Data protection
Each party will comply with the UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf, we act as your processor and will sign a data processing agreement with you before we access any data. We apply appropriate security measures and use subcontractors or sub-processors only with suitable safeguards. Our own use of personal data is described in our Website Terms and Privacy notice.
11. Subcontractors
We may use vetted freelancers or subcontractors, who are bound by confidentiality and data protection obligations. We remain responsible for their work.
12. Intellectual property
You keep ownership of your data and documents. We keep ownership of our pre-existing tools, templates and workflows, and give you a non-exclusive licence to use deliverables for your internal business purposes.
13. Liability
- Nothing limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
- Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- Our total liability in connection with the services in any claim or series of related claims is limited to the fees you paid us in the 12 months before the claim arose.
- We are not liable for loss caused by inaccurate or late information from you, payments you approve and release, or failures of third-party systems.
- We hold professional indemnity insurance appropriate to our services.
14. Legal compliance
Where required by law, we may need to verify your identity, keep records and make reports to the authorities, and we may not be able to tell you if we have done so.
15. Events beyond our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it tells the other party promptly and does what it reasonably can to continue. This does not excuse payment of fees due.
16. Complaints
If you are unhappy with our service, email info@lion-group.co.uk. We will acknowledge your complaint within five working days and aim to resolve it promptly.
17. General
These terms and the Order are the entire agreement between us on their subject matter. Changes must be agreed in writing. Neither party may assign its rights without the other’s consent, which will not be unreasonably withheld. A failure to enforce a right is not a waiver. If any provision is unenforceable, the rest continues. No one other than the parties may enforce these terms under the Contracts (Rights of Third Parties) Act 1999. Notices may be given by email to the addresses in the Order. These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
